As for my 'ignorance', well, as an investor I rely on reading SEC filings. You do read them, don't you?

Nothing in the filings says what you just explained. The 10Q does not say that Telenet and Baraka were related. It describes their acquisitions separately. Nor does it give any details about the large bank debt that you described. It does state that the intellectual property rights of Baraka were acquired for a mere $510 k.

So on the assumption that you are correct, it appears that the correct answer to my question is either #1, the company made false statements in its filing, or #2, the company omitted material facts in its filing.
