WASHINGTON, June 1 (Reuters) - CheckFree Holdings Corp., which provides electronic billing and payment services, filed with the Securities and Exchange Commission on Tuesday to offer 3.5 million common shares. Of the total, 2.35 million shares will be sold by the company and 1.15 million will be offered by shareholders, the company, based in Norcross, Ga., said. The underwriters have been granted a 30-day over-allotment option to purchase up to 525,000 additional common shares. The offering will be made through Merrill Lynch & Co., BT Alex. Brown, Hambrecht & Quist and U.S. Bancorp Piper Jaffray. After the offering, outstanding common will total 54,481,767 shares. Net proceeds will be used for working capital and general corporate purposes, including expansion of services to a broader market and potential acquisitions, CheckFree said.
