Sorry if this has already been covered, and please forgive my ignorance about secondary offerings.

What would be the reason for insiders to sell their shares as part of a secondary offering instead of on the open market? If insiders expect the stock price to increase, would they not fare better on the open market rather than some fixed price that may be lower? Is the offering price set near market price?
