VaxGen filed S-1 for IPO with SEC on 5/7/99. IPO is tentatively scheduled for 7/14/99, assuming SEC Registration is appoved in timely fashion. Initial pricing is $13-15 but will change as IPO date approaches and indications become known.

At present, there is no market for these shares and only private placement shares have been sold.
