SHARP LICENSING AGREEMENT FOR TRI-VISION'S FLEXIBLE V-CHIP TECHNOLOGY
TO BE COMPLETED BY MID-JUNE

THURSDAY, JUNE 3, 1999 - TORONTO, ONTARIO, CANADA - Tri-Vision International
Ltd./Ltée and Nichimen Corporation announced today that Sharp Corporation
of Japan has advised that definitive documentation relating to Sharp's
licensing of Tri-Vision's patented, flexible V-gis(tm) v-chip technology
for use in Sharp's new televisions will be completed by mid-June.

"This confirmation from our colleagues at Nichimen is very good news for
our team, our shareholders and consumers," stated Tri-Vision President
and CEO, Najmul Siddiqui. "The firm commitment by Sharp is a major milestone
and will hasten the progress being made in discussions with other major
television manufacturers in Japan, Korea, Europe and the United States."

Nichimen Corporation and Tri-Vision have an exclusive working relationship
to jointly apply expertise, resources and commitment for the purpose of
deploying Tri-Vision's patented, flexible V-gis(tm) v-chip technology
in Japan, Asia and Europe. Nichimen continues to assist Tri-Vision in
the licensing of the V-gis(tm) v-chip technology to major television manufactur
ers located in those regions.

Tri-Vision's V-gis(tm) v-chip technology provides a means of controlling
the quality and content of television programming entering the home by
blocking or selecting television programs based on content. This means
that television shows can be selected based on prescribed rating as well
as varying levels of violence, sex, language and dialogue. Uniquely, the
V-gis technology is the only v-chip technology, available to TV manufacturers,
that is able to automatically reconfigure in the field should TV ratings
systems change.

In accordance with the U.S. Telecommunications Act of 1996, the Federal
Communications Commission has mandated that from January 1, 2000 all television
s sold in the U.S., with a picture screen 13 inches or greater, must be
equipped with "v-chip" blocking capability. In a transitional period
between July 1, 1999 and December 1, 1999, an average of 50% of TVs available
for sale must provide "v-chip" blocking. Tri-Vision's V-gis(tm) technology
meets the FCC requirements for basic blocking and provides parents and
manufacturers with the assurance that new televisions with v-chip capabilities
would not become obsolete when TV ratings systems change.
