Per news release, the conversion price for the debentures is .15 below the market price AT THE TIME OF CONVERSION...ie the lower the market price the more shares are received per dollar. This is a floorless convertible.

Example: $100,000 at .50/share is 285,000 shares [100k/(.50 - .15)]

$100,000 at .35/share is 500,000 shares [100k/(.35 - .15)]

In this example a 30% decline in stock price results in a 75% increase in the amount of shares for the same $100,000. Not always a pretty way to raise money:
