Search Engine Maker

BOCA RATON, Fla.--(BUSINESS WIRE)--April 29, 1999--Robert G. Williams,
President and Chief Executive Officer of Home Care America, Inc. (OTC BB:HCAI -
news) announced today the closing of the acquisition of BIOS Corporation of Deerfield Beach, Florida. HCAI acquired all of
the outstanding stock of BIOS in exchange for 33,854,204 restricted shares plus cash.

BIOS owns the Business Ethics Bureau which publishes www.EthicsBureau.com, a comprehensive full function Search Engine
Internet Portal site that is similar to Yahoo, Excite, and Lycos, and focuses on promoting safe e-commerce. As a Distinguished
Provider to the Netscape (Nasdaq:NSCP - news) Netcenter, www.EthicsBureau.com is available to over 40,000,000
Netcenter visitors a week.

In addition to the unique useful search engine, the EthicsBureau.com portal makes surfing the Internet fun. The site contains,
3,000 channels, chat, forums, a Safe Mall and Safe Auction (where the money is held in escrow until the product is delivered),
free Web pages, free e-mail, a handy desktop search tool, 9 categories of news, free classifieds, and much more.

HCAI previously announced its entry into the Internet services sector. Simultaneously, HCAI announced its own divestiture as
a health care provider through the sale of substantially all of its health care assets to an unrelated third party, and the balance of
its health care business to Williams. Both transactions are now complete.

Mr. Williams has resigned the position of President and CEO, and will continue with the Company as a Director and Vice
President of Acquisitions. Mark Ismach, founder of the Business Ethics Bureau, and developer of www.EthicsBureau.com, has
been elected President and CEO. HCAI will change its name to BIOS Corporation. The Company will continue to trade on
the NASDAQ OTC:BB under symbol HCAI until a new symbol has been issued. The Company plans to apply for NASDAQ
national market listing in the near future. Acquisition discussions of other Internet related companies have already begun.

By using the www.EthicsBureau.com search engine as a global Web site locator, consumers can read free comprehensive
business profiles, reliability reports, and privacy statements without ever visiting the Web site. This removes the potential of the
Web site to use ''cookies'' (a software program that is downloaded to a computer that can extract data) to obtain information
without the user knowing.

EthicsBureau.com plans to begin additional Internet safety public awareness campaigns with high traffic on high quality Web
sites. The goal is to expand its existing relationship with Netscape, and to build partnerships with other Internet leaders like
