Last year during S3 annual meeting in San Jose, I met Terry N. Holdt, president and chief executive officer (1996). I asked him why George Hervey sells his shares periodically. He replied that George bought an expensive house in Los Gatos, California. For those who do not know, the Los Gatos houses are very expensive (values are in millions). Once you move up your family to a higher standard, you need to sell more shares to keep up. And, later to look for a higher salary. Simple as it is. I met George Hervey on the same meeting.

I personally happy that George left. A younger and more aggressive individual to replace him will definitely serves us better. A younger replacement who is eager to challenge all competitors will be to our benefits. George was not an instrumental element in S3 success. The S3 success has been its vision, its products, and of course its management.

Other key mgmt officers are humans too. Some may foresee a big rise in stock price and some may vision a temporally set back. Base on their judgement which can be as good as yours and mine, they file and have a window to execute. So far, base on my experience and reports that I have, the insiders activities are neutral. If you look through the insiders selling activities, you will notice how sorry many of them should be during the last three years! Go visit and see what pain they go through.

I think they may also vision a big jump so they want to have the same opportunity to sell when the stock is going up as well!

Let's look at other critical elements.
