I'm probably going to do what I did last year--the shares in one account vote for the options, the shares in another vote against. I think the options are excessive but a necessary evil. A close vote might send a message to them.

The good things about the options, as far as I can tell, are these. THQ gets the cash for the exercise price. I imagine the average share will be over $30 so eventually THQ will get more than thirty million from this latest batch. Helps the cash horde and helps avoid any kind of secondary or convertible. Ie, a year from now we'd have the $60 million easy to buy a MPRS. We could almost pull it off right now. That is, no convertible debacle like last summer.

Also, THQ gets to keep employees happy. And as management has pointed out, THQ has twice the employees it had a year ago.

Am I right in assuming that the average employee gets a certain number of options a month? In that case, this whole conspiracy about a low share price in June is ridiculous. Besides, we had a big June rally last year. Like I said, I assume the average grant will be in the thirties.

I don't think the WWF's current problems are going to hurt THQ. Rather, by the time we start our WWF license the shows will be on prime time free tv (UPN), the company will likely have gone public, and be more popular and powerful than ever.

Anyone who can make it to the shareholder's meeting should. There are going to be a lot of message board regulars there.

Sorry, I am voting against it. I honestly like to say "Yes" but I think they must show more regards to us shareholders. No matter how good the company operates, what I (any probably "we") care the most is the stock price. It's not fun to see THQI continues to grow rapidly but stock price remains flat. If a "Toy" company - JAKK can justify a p/e well above 20s before dilution, I have no idea why THQI worth only half the value. They can do much better job to promote the stock as they did on their games.

Certainly the option plan will passed on the meeting but us shareholders need to speak out our opinions.
