PHILIPPINE UPDATE...

by: MSM_Incorporated

YAHOO Message #1303 of 1308

Early on, I informed everyone of a very sensitive political environment in the Philippines... Fortunately for all, my patience has been well served, and we just witnessed the signing of the "Clean Air Act" into law by President Joseph E. Estrada. It took longer than anticipated; yet it is a milestone achievement towards future implementation of Thermo Master plants in the Republic of the Philippines.

Lobbyists of Oil Company's and Incinerator groups against this particular legislation spent significant monies. Although as you view the links below, you will learn that their lobbying was unsuccessful and the Incinerator Groups have just been ousted from the country. This new law gives my/our program a green light to proceed unfettered.

Please don't misunderstand the above statement…there is still a lot of work to be performed with the Senate, House of Representatives, and the Congress (regarding the "Solid Waste Management Act") and it will take some time, but our competition has just been greatly reduced and/or eliminated. I am hoping to obtain the necessary ECC (Environmental Clearance Certificate) from the DENR (Department of Environment and Natural Resources) within a month or so, and still look forward to a successful implementation of Thermo Tech's technology throughout the Philippines.

In the future, I am expecting the local papers to post specific articles and news releases naming Thermo Tech Technologies, Inc. and its process… As they become available, I will post the links for all to view.

Sincerely,

Mark Anderson

Crappedout ... Thanks For The In-Put

and well-written posts. The wisdom and expertise shown are
praiseworthy and I presume your assertive point of view increased by enthusiasm concerning Thermo Tech is not meant to harm.

In the beginning, many years ago, I shared feelings similar to yours as did countless others. I (we) bought into this pipe dream thinking that it would one day prosper immensely to benefit shareholders and cleanse Mother Earth from pollution. Due Diligence on this TTRIF enterprise was uplifting, fun, plus exhilarating … with eye-popping revelations that would siphon in the reflective thinker and put them into fantasy land. I was sold for sure and thought the only way for this stock to go was up ... sky high. Also, couldn't wait to share the good fortune with family members and friends……../ They believed me and bought in too. Today, I am racked with guilt over this Hell-bound faux pas … even though these lovely individuals are NOT holding me accountable. If scrutiny were rendered (like it should have been) covering the CEO and Board of Directors at TT, none of us would be in this hodgepodge. Therefore, I take the blame … and the price has to be paid.

So far, I have been labeled a Basher, Nay-sayer, Whiner, Cry-baby and Right Wing Dissident Hate Monger! None of these monograms are true. The fact is I (we) have been around this Mulberry Bush too many times and are just plain fed up with News Releases that don't pan out. Not to mention, continual dilution, growing outstanding shares, heavy spending, besides ruined Joint Ventures and Debt Financing. Taking this into consideration, no wonder stockholders become irate and frustrated. It's understandable, can't blame them a bit either.

To quote a Malay Proverb:

Jika tidak dipecahkan ruyung, di mana boleh mendapat sagunya.

You can't get at the precious sago without first breaking the bark. You can't make an omelet without breaking a few eggs.
Or simply put: No Pain No Gain!

Thermo Tech owners of stock have gone through their fair share of suffering to no advantage at all.

With all due respect to your attainments in Biochemistry and the knowledge you obviously retain as to the Patented Thermopilic Fermentation Process, this should be commended. However, what I don't understand is your opinion (which you are indeed entitled to) concerning René J. Branconnier. I am with the understanding according to your posts that you are more IN FAVOR OF RB rather than against him. Your prerogative … in contrast … I strongly disagree!

I harbor anger as well as bitterness towards our CEO Branconnier. Furthermore blaming him 100% for the fiasco we have been in during the past and present decline of this company called Thermo Tech. I have watched many beautiful human beings basically struck down one by one which is a major heart-break and more than I can bear. Reactions such as mine are not good I know. Feelings like this only hurt the person in possession, yet they are there nonetheless and didn't arrive overnight.

My belief is 99.9% of our problem would disperse if René was out of the picture. Other corporations change hands all the time, (including the one I work for) why not Thermo Tech? The bottom line is … we need ALL NEW BLOOD in there NOW! And if you think that TT will not run without RB … how do you know unless we try? Look at the catastrophe the company has been in and continues to remain. In addition, how can you have a prosperous firm when NOBODY wants to do business with TT? Various people from different parts of the world solidly have the same convictions about RB. How can they all be wrong? Something doesn't jive here.

As long as there are buyers this predicament we are in could go on for years, one of my fears. The price could drop to a penny or below … et cetera … not a comforting feeling. I do not believe one iota that René has the shareholders or company at heart when it comes to new management. I do consider as true that all this has taken a toll on him, stress wise, and he feels the pinch.

His terms as far as New-fashioned Administration:

What are the demands of RB? Curious intellects would like to know.

He feels his rear-end in hot water and will fight to protect it. With his behavior, my second apprehension is a flood of increased shares to the Market and or destruction of resources. I don't trust the man at all, with good reason.

Sorry for the enraged point of view but I'm 50% Sweetheart and 50% Bitch … René pushed it!

Yes, the simple solution would be to turn my back and walk away from all this … end of problem. For some unknown reason, I can't. What is it about this stock that has a hold on some folks like me? Must be something to it, just don't know what it is.

This message was not drafted to bait or intimidate. I trust you will consider that, since these are my beliefs and strong convictions.

Regards,

POINTS TO PONDER ABOUT PROXIES:

There are some concerns to bear in mind before the next Annual General Meeting (AGM).

1. If shareholders DO NOT VOTE on their proxy … ballots will automatically go in favor of current Directors and Officers of the company.

From Securities and Exchange Commission:
Form 20-F, Page 31, Item 10.

René J. Branconnier
Director, President and Chief Executive Officer

Daniel Cumming
Director, Vice-President

Leonard Remple
Director

Angelo Paletta
Director

Owen Anderson
Director, Vice-President

Wayne Hansen
Chief Financial Officer

Ronald Birch (Is He Still There?)
Secretary

2. If shareholders WITH-HOLD their vote (Abstain) … ballots will again go in favor of the above group … RB and Hand Puppets … sorry for the pot-shot but I am furious.

3. Citizens of the USA versus Tombstone Votes:

If you DO NOT ask for your proxy and the right to vote?
Most brokerage firms will consolidate those shares and they will automatically return (in favor of) current management of Thermo Tech. Votes by an oversight or failure to act is a very serious issue … we just can't let this happen. I am with the understanding that Tombstone Votes are not a problem in Canada as long as the owner of stock has the right to cast a ballot.

4. Registered and NON-Registered stockholders:

WATCH OUT! This was a BIG PROBLEM at the last AGM on October 30, 1998. All shareholders who were NOT registered with Montreal Trust Company of Canada weren't allowed to attend the meeting. René locked us out with barricades and Security Officers … I will never forget it and detest the man to this day. I have always felt deep down that RB really didn't win the last time … it was simply the way votes were tallied. All the NON-Registered folks didn't have a chance, not fair in my book.

"IF" all shareholders had their stock registered now with Montreal Trust and René took a look at who was for or against him … what would stop the guy from flooding the market with more outstanding shares that would go in his favor during the election poll? Nothing would surprise me now.

Surrounded by past events, I don't trust Branconnier one bit. He tries to give the impression that business is moving forward but in fact it is standing still. If he couldn't supply enough waste for the 400 ton per day TMP then how can he accumulate sufficient amount for the new Thermo Master MARK lll Plant? Especially, when NO ONE wants to do transactions with him.

Absolute power cannot corrupt absolutely. What could corrupt the absolute?

Lock Them Out!

(partial post)

If sufficient evidence exists to present to a court the concerns of the shareholders, and the court is convinced that it is in the best interests of the shareholders to allow them to take over, then this can be accomplished without the consent or even the knowledge of Thermo Tech.

I do not know what percent of the shareholders must be represented, but it is not a high number.

It is time to search for a CEO willing to rebuild the company and represent the shareholders. An interim CEO will do for now.

It is time for the "big boys" to unite themselves, those with large holdings who have really had enough.

Partisan politics does not cut it anymore. Shareholders, unite!

Cheers,
