The key here is control. If anyone controls more than 5% then they have to file with the SEC. I didn't find any such filings so I think someone "mis-explained" things to you. Why don't you check your rumors before you post them?

If 8 clients each hold 4% the total would be 32% but none of them would have to register under the 5% rule.

True, but then the brokerage would not control the shares.

Also, who "explained it" to you this way? Saying "the way it was explained to me" is just another way of saying that you are passing around information and that you have no idea of whether it is true or not.
