It would be interesting at how Prudential came to its conclusions. I am not a shareholder of TAVA any longer, so this is only a mental excersize for me. The class action lawsuit is against the TAVA directors and the acquiring company. But, it does not mention Prudential who is legally responsible for the fairness opinion. A public company gets a fairness opinion to protect itself against these type lawsuits.

In the end, it is important to show at least one of three things:

1. The directors misled Prudential.
and/or
2. misled the Public Investors.
and/or
3. Prudential was negligent in conducting its valuation.

The fairness opinion is the legal instrument that TAVA will hang its hat on and Prudential is obligated to defend. In my opinion, we need to understand how prudential arrived at its opinion.
