Nobody's talking about Ramtron after a whopping 60% gain this week? Are these levels going to hold or are we going back down to .53 as usual? Seems like the news this week generated some interest; the question is whether it's from day traders or long term believers. My humble prediction: we're going back to .65 short term; then it's time to pounce back in.

Ramtron Files Definitive Proxy Statement, Sets Special Meeting Date

COLORADO SPRINGS, Colo.--(BUSINESS WIRE)--June 21, 1999--Ramtron
International Corporation (Nasdaq:RMTR) announced today that it has
filed a Definitive Proxy Statement with the Securities and Exchange
Commission regarding a proposed restructuring of the capitalization of
the Company. A Special Meeting of Stockholders has been scheduled for
July 20, 1999. Record holders of Ramtron Common Stock at the close of
business on June 17, 1999 will be asked to vote for a restructuring of
the Company as set forth in the Proxy Statement. The company began
mailing Proxy materials to shareholders today.

The Company also announced that, effective June 23, 1999,
Ramtron's common stock will be listed on The Nasdaq SmallCap Market
subject to an exception from the minimum bid price requirement. While
Ramtron failed to meet this requirement as of June 18, 1999, the
Company was granted a temporary extension from this standard subject
to Ramtron meeting certain conditions. The exception will expire on
August 6, 1999. In the event the Company is deemed to have met the
terms of the exception, it shall continue to be listed on The Nasdaq
SmallCap Market. The Company believes that it can meet these
conditions; however, there can be no assurance that it will do so. If
at some future date, the Company's securities should cease to be
listed on The Nasdaq SmallCap Market, they may continue to be listed
in the OTC-Bulletin Board. For the duration of the exception, the
Company's Nasdaq symbol will be RMTRC.
