Qwest Offers To Buy U S West, Frontier

DENVER (Reuters) - Qwest Communications International Inc. said Sunday it offered to
buy Baby Bell U S West Inc. and long-distance provider Frontier Corp. (NYSE:FRO -
news) for $55 billion in cash and stock, attempting to break up rival Global Crossing Ltd
(Nasdaq:GBLX - news).'s plans to buy both companies.

In a bid to create a U.S. telecommunications giant, Qwest said it would pay up to $80 per
share in its common stock for U S West and $20 per share in cash and $55 per share in
stock for Frontier.

Global Crossing and U S West said in May they agreed to merge in a stock deal worth
$37 billion. In March, Global Crossing said it would buy Frontier for $11.2 billion.

Qwest said in a statement Sunday its proposals are ''financially and stragetically superior
to Global Crossing's pending transactions.''

A Global Crossing spokesman was not immediately available for comment.

Qwest said the transactions would also include the assumption of about $11.4 billion in
debt, in addition to the $55 billion in cash and stock it is offering.

Well that was very interesting news about mPHASE. Looks like my spek-u-lating as to their big bold claims may have been accurate.

But onto the next one. Paradyne. Now this one has already gotten my attention a few weeks back thanks to DenverTechie. Coincidently Paradyne is located only miles from where I live. Here's a very short history.

I've been following them right from the times George Wiggins got caught, "cooking the box," for a Federal Social Security Administration contract. It made the headlines locally everyday. Paradyne was one of the leaders in those good old acoustical couplers we used to use to connect to the University's mainframe. We used to dial in manually, listen for the screech, and slap down the rubber cups on a receiver. We thought that was the coolest thing.

Then Paradyne changed directions and wanted to get into the box making business and literally rigged one up with phony flashing lights and all. Then they got the big SSA contract and a competitor cried foul and all hell broke lose. They went downhill ever since then until AT&T (or maybe it was Lucent by then?) bought them out of bankruptcy. And just a few years back, Lucent sold them to some Texans.

BTW, while doing DD on Paradyne, I ran across yet ANOTHER DSL chipmaker. There are so many, I'm losing interest in that sector. It turns out that Lucent sold only the DSL equipment stuff to the Texas group but LU still owns the DSL silicon division. It's called,_____. Well I can't find it now? But from what I recall, they makes chips for every flavor of DSL available! But it's part of Lucent in case anyone is interested.

What I'm focusing on specifically is Paradyne's answer to the distance problem. Their Hotwire MVL(Multiple Virtual Line) DSL product. They have a lot of products. Here's the link that has got me interested:

The snooping at Hart Telephone was real good DD. I looked at the management team and concluded (just educated guess) that there is probably more hype than substance. Well, so much for that.
