I think you may be right about the deal falling apart due to the $10.00 drop in share price. at today's closing price for QWST(34.12) the offers to USW & FRO are 60.83 & 61.83 respectively nowhere near the offers of 80.00 & 75.00 per share.

Sorry for the newbie-sounding questions, but I've never been on either end of a buyout before.

1) I'm assuming that the offer made to USW/FRO was for X shares of QWST and $Y in cash. Thus when the price of QWST fell, the offer dropped.

2) When you say that the GBLX offer for USW/FRO has a "collar," do you mean that there is some minimum dollar amount below which the offer cannot fall? Or is it that the offer would be something of the form $Z in GBLX stock and $A in cash, so if GBLX stock rises USW/FRO get fewer shares and if the stock falls they get more shares but either way they get the same dollar amount?

-Mike (long at $99 pre-split and used to work for NYNEX and have no desire whatsoever to own any part of an RBOC ever.)

QWST already is a long distance carrier. What they want is direct access to the home and more customers for their network.

True, Qwest stock price fell just a tad today, but you can bet the first thing "QWST/USW/FRO-co" will do if they merge will be road-show the new entity with a vengeance to rachet the stock price back up. Just my .02, started 2 lurk this thread today after reading the news.
