I believe that the SEC doesn't actually have specific rules/restrictions regarding "insider trading" prior to material events.

As far as I know, it's up to individual companies to discourage any activity prior to announcement of material events - typically 30 days.

Probably typical SEC ambiguity on this subject.

Again, I'm not 100% sure on this...
