Amen to that. I doubt very much if the principals even look at this sort of stuff.

Personally I am very satisfied that the deal is in good and professional hands. The summer promises to be quite exciting.

This stock is trading at shell prices - no value for the deposit. I can't possibly see how anyone who is objective can be happy right now. These guys have been saying the same thing since October 1997 when they were late on the feasability study. It has been a consistent, out of the press, story of we are working hard so trust us, the stock will jump and when it does!

I think that in part, what i have been trying to do is demonstrate that blind trust in these guys may not be prudent. There have been a few minor discrepancies and people have the right to know. I would hope that some people may be somewhat less willing now to simply take the meager bones tossed out once and a while and just go to the corner.

I have not suggested that anyone should sell this stock, they are nuts if they do. However if every lurker and poster phoned IR and kept hammering them for info then we would be excercising our shreholder rights for disclosure.

Pursuant to the VSE notice dated Aug. 29, 1997, (Stockwatch, Sept. 2), the Vancouver Stock Exchange has accepted for filing the following agreements:
Notice of intention to exercise option (notice by Gemstone Mining Inc. to Kennecott Exploration Co. of its intention to exercise its option to purchase the Red Beryl property, dated Jan. 12, 1998);
Modification of exploration and option agreement (modification of exploration and option agreement between Red Emerald Inc., the Rex Harris Group, Amelia Investments Ltd., Gemstone Mining Inc., Kennecott Exploration Co. and Neary Resources dated December, 1998;
Convertible loan agreement (convertible loan and equity participation agreement between Red Emerald Ltd. (a Gibraltar company), Amelia Investments, Gemstone Mining and Neary Resources, dated December, 1998. Pursuant to the modification of exploration and option agreement, the $10-million (U.S.) option price will be payable as follows: $2.5-million (U.S.) on Dec. 12, 1998; $1-million (U.S.) plus interest at 14 per cent yearly, payable Dec. 12, 1999; $2-million (U.S.) plus interest at 14 per cent yearly, payable Dec. 12, 2000; $4.5-million (U.S.) plus interest at 14 per cent yearly, payable Dec. 12, 2001; the vendor's entitlement to receive 2,000 carats of gemstones is terminated, in lieu thereof, each of Red Emerald and the Rex Harris Group will be entitled to receive $1-million (U.S.) plus interest at 14 per cent yearly, payable by June 12, 2001; and closing and transfer of the title to the Red Emerald property will take place after $5.4-million (U.S.) has been paid to the vendors, the balance of $4.5-million (U.S.) to be secured by a first trust deed in favour of the owners.
Pursuant to the convertible loan agreement:
Formation of Red Emerald Ltd. (a Gibraltar company) for the purpose of processing, selling, and marketing red beryl gemstones produced by Gemstone Mining from the Red Beryl property;
Advance by Hans Moppert of $3-million (U.S.) loan to Red Emerald Ltd., (the loan convertible into shares of Red Emerald Ltd. by March 31, 1999, by which date an additional $2-million (U.S.) is due to be paid to Red Emerald Ltd. by certain investors), the initial funds to be drawn down by Gemstone Mining Inc. to make the first option payment of $2.5-million (U.S.); and Restructuring of the share capital of Gemstone Mining Inc. such that the interest of Neary Resources in Gemstone Mining Inc. and Red Emerald Ltd. will be 51 per cent of each of the two entities.
