On April 23, 1998, the Board of Directors authorized a systematic stock repurchase program to acquire up to 100 million shares of Compaq's common stock. The shares will be purchased in open market or private transactions. The number of shares to be purchased and the timing of purchases will be based on several factors, including the level of stock issuance under the equity incentive plans,the price of Compaq stock, general market conditions and other factors. Compaq implemented this program on May 4, 1998. DrRisk
