Hi s, I have never heard or seen this "Equity Overnight" type of offering before. I went to iionline and submitted a question about it but I'm not expecting an answer back. Did you notice that CIBC Oppenheimer held their "Communications Food Chain" conference this week in NY. ORCT was a presenter there. I wonder if they used that as an impromtu road show?
I didn't notice any insiders selling shares as part of this offering which is good news to me.
Your theory of this being a quasi private placement makes sense to me and I'm guessing that is what this was. I would add Siemens as a possible stake holder w/ DT and Fujitsu. I will post my reasons later...gotta go pick up some parts for my car before they close.

Seimens and Josepthal Analyst comments:

Siemens could be a potential stake holder for the following reasons:
Deutche Bank approached ORCT... DB could have been working w/ Siemens instead of DT.
Siemens/ORCT have alliance w/ VDSL.
Siemens/Fujitsu have a couple of alliances as well. (European PC just announced)
Siemens/ORCT would have 75% of DT deployment if they combined.
Alcatel has lept ahead of Siemens in regards to internet related products. Siemens needs to catch up or they will miss out on large network upgrades. Teaming w/ ORCT would put them on par (or above ALA w/ VDSL) in regards to internet access products.
All this is just speculation on my part, but I believe that if anyone were to buy out ORCT it would be Siemens.

Josepthal analyst issued a note today:
said he talked to ORCT mgmt yesterday.
secondary will strengthen ORCT's balance sheet (has about $80-85 million in cash). Didn't mention any specific uses for the cash though.
ORCT has shipped 70,000 lines to GTE, expects to ship 200,000 by end of the year. All equipment shipped has been DSLAMs, no CPE yet. GTE wants to "seed" the area before they start advertising/promotion. GTE currently has 20,000 adsl customers.
Analyst expects ORCT to ship more than 35,000 lines to DT this yr.
HDSL revenues could be higher than expected.
Expects new tenders could be won/announced in 6-12 months (I believe he said this 6 months ago as well)
Reiterated buy and $35 target price.

Read that 3Com, Copper Mtn and Efficient Networks are customers for the new HDSL-2 chip w/ CNXT. If true then I guess ORCT has an indirect piece of the MCI/Worldcom SDSL deployment.

VDSL is starting to get more press. Broadcom, ORCT and NextLevel are only companies w/ working products.
