FWHT great news...acquisition of Be1st.com complete, stock looks solid. Talked to CEO, big things in the works too. LArge advertising budget in which they will do TV, Radio, Cable, billboards, Magazines, etc...

BeFirst.com Announces Completion of Acquisition
NEW YORK--(BUSINESS WIRE)--June 18, 1999--BeFirst.com, a Nevada corporation, approved for trading on the NASD Electronic Bulletin Board, (trading symbol ''FWHT''), Friday announced that it has completed the acquisition of BeFirst Internet Corp. (''Be1st''), a Delaware corporation.

As part of the acquisition of Be1st, the company completed a private offering for $2.5 million, changed its name from Collectibles America Inc. to BeFirst.com, appointed a new board of directors and changed its offices to New York. The company also effectuated a 2 to 1 reverse stock split which is effective with the commencement of business on Friday, June 18, 1999.

Be1st is an Internet business solutions company which offers Internet optimization tools to increase traffic flow to clients' web sites.

Be1st's target market includes all companies with Internet web sites and which have a desire to increase the volume of qualified consumers to their web sites. BeFirst currently offers Internet business services to online advertisers through its web promotion and web site search engine optimization service, Be1st.com(TM) (www.Be1st.com).

In an effort to provide its clients with a broader spectrum of traffic-driving tools, Be1st is in the advanced developmental stage of its Pay For Position(TM) search engine, FindWhat.com(TM), which is intended to be launched in Summer 1999.

Powered by a listing system which will be designed to allow web sites to pay for position via an automated open bidding system and preferred search rankings, it is expected that FindWhat.com(TM) will allow Internet users the ability to find relevant information without having to sort through the volumes of irrelevant information displayed by other search engines and portals.

Be1st has operations in two locations. The executive and sales offices are located in New York City and the technical operations are located in Fort Myers, Fla. Be1st was incorporated in Delaware and began operations in March 1998.
