Hi John,

First the form 144 is the registration of unregistered shares.
Form 4 is indicating a potential intent to sell. A sale may or may not take place.

A Form 3 registers an actual sale by an insider.

None of the potential sales by the officers, with the possible exception of McKinnon seem to represent a material portion of their holdings. (I didn't verify with the last proxy, so I'm not absolutely certain.)

the Steven sounds like an institution or fund (part of the name).

Personally, in the mid 30s, I think there's a huge chunk of money still sitting on the table before 300mm game has been played.

That doesn't mean that the stock won't revisit the 20s first.

Good luck,
Ian.

>>Insider selling is not as good an indicator as insider buying, but I wanted to reduce my semi equip exposure now, after the run-up, and this seemed like a good reason to let PRIA be the one I sell.>>

In my (relatively limited) experience, insider transactions have been near useless indicators. My single biggest winner (EMC) has had massive intermittent insider selling for years, including back when they were about 6% of their current share value. Even back then, people kept moaning about the insider selling.

I think for many of these guys, their company stock is their main asset, so when they need cash - they liquidate shares. Need a house...need a car...need one of those cool digital projector surround sound systems in their second home, etc...

Long PRIA I remain...
