John - Directors and officers, acc to the 5/26/99 10K, are:ITEM 10. DIRECTORS AND EXECUTIVE OFFICERS OF THE REGISTRANT. The names and ages of directors(including the year in which each became a director) and executive officers of the Company as of the date hereof are set forth in the following table: Director Name Age Positions With Co. and Subsidiaries Since ---------------------- --- ----------------------------------- -------- Edwin B. Salmon, Jr. 60 Chairman of the Board of Directors 1991 and Chief Financial Officer James T. Kowalczyk 57 Director and President 1997 Richard A. Sweet 64 Director 1997 Larry R. Snapp 52 Director 1997 Hugh M. Gibbons 57 Executive Vice President N/A N/A means the named executive officer is not a director. Janice - Yes, they did file an 8K when Ernst & Young LLP resigned as auditors. The did not file one when the new auditors came aboard. Interestingly, when Ernst and Young found out about Reed, they disavowed prior reports. This, from the most recent 10Q of 6/4/99.Item 5. Other Items The Company has requested the permission of the Securities and Exchange Commission to withdraw its amended Annual Report for the year ended December 31, 1997 and its Annual Report for the year ended December 31, 1998, both of which were filed on May 26, 1999. On the day following the filing of these annual reports, the Registrant was notified that the predecessor auditor, who reported on the financial statements of the Company for the year ended 1996, would not permit its audit report to be associated with any filing of the Registrant. The reason given by the predecessor auditor was the voluntary disclosure of certain matters by the Registrant regarding Mr. Dorian Reed, a principal stockholder,.... [emphasis added] [And the company is trying to say that three people posting the truth on the internet is what brought the share price down?? Please!!!] Attention longs. Put your emotions aside. When an auditor [especially a big name house] quits and won't let past audits be associated with any filing of the company, it's a big hint that something's rotten in the financials. I do hope you get out with at least *some* of your capital before it hits the fan. ...Mezz - Congratulations to the Dallas Stars on their first Stanley Cup. [grrrr]
