I got the following two one-lines, both from Mary Jean Kelly, IR:
1) It is true. Shareholders must be located in the United States.
2) Because of [SEC] rules and regulations regarding the marketing of IPO's.

I then asked how come I can buy IPO shares through some of the underwriters directly if it's a SEC rule, but of course never any reply to that.
