On May 10, 1999, Linkon Corporation (hereinafter referred to as "Linkon" or the "Company") laid off all but one employee
due to the fact that the Company has run out of cash. While the Company still hopes to attract equity capital, rehire employees
and continue its business plan, and while the Company's officers are actively endeavoring to raise equity capital, there can be no
assurances that it will be able to do so. The remainder of this Item 1 describes the Company's business on the assumption that
the Company will be able to continue its operations."
