Rick, I agree with Mac that a non hostile purchaser does not want to offend management of the company in which it intends to buy stock. They may go to the management and say we are interested in your company, have no hostile intentions, think you all are doing a great job and just want to participate as investors, have no interest in a take over, and even disclaim any interest in a takeover with documents filed with the S.E.C. But positions are taken this way , all the time. Many of the du Pont purchases of Pioneer were open market purchases rather than sale of new stock by the company. Monsanto did both, buying in the open market and buying new stock from Calgene which had a financial need for cash to keep operating.
