announced that it filed a registration statement with the United States Securities and Exchange Commission relating to the offer
and sale of up to 4,025,000 shares of common stock, including an option to the underwriters to acquire up to 525,000 shares of
common stock in connection with any over-allotment of shares. The Company anticipates completing the offering, subject to
