(OTC Bulletin Board: MSHE) announced today that the Company has entered into a development, co-production and cross licensing agreement with Film Roman, Inc. (Nasdaq: ROMN). Under the terms of the agreement, both companies will own a portion ofthe adjusted gross profits from the television broadcast, toy and merchandising licensing rights of each other's selected animated and live action properties produced under the agreement. In addition, MSH will engage Film Roman for co-development funding and deficit financing of some of the properties. Film Roman is one of the leading producers of animated entertainment including the mega-hit series, "The Simpsons" and "King of the Hill," bothof which appear on Fox Television. It also produces "The Downtowners" forWarner Bros. Network and will soon release a television movie for The Disney Channel. MSH Entertainment is a family oriented, multi-platformed company andbrand marketer of exclusive original properties. It is also a major creator of toy concepts, original as well as toys related to children's television series and specials and movies. It is also active in recordings and as an aggregator of family oriented Internet through its KidAndFamily Inc. web site. In explaining the transaction, Jonathan Stathakis, president of MSH Entertainment explained that "each company will have the right of first refusal to several of each other's children's animated and life action programs and will include the development and ownership rights associated with the programs we elect to produce. "This includes games, toy development, merchandising rights, publishing, home video and broadcast rights and tie-ins with the Internet." Film Roman and MSH recently entered into an agreement with Jane Seymour and James Keach, her husband, for the development of a merchandising andtoy line and the production of an animated special written by Ms. Seymour and Mr. Keach titled "This One n' and That One." The production is basedupon their children's line of books published by Putnam & Co. that was inspired by their twin sons. Jane Seymour is a multi-talented EMMY Award winning actress and starof the popular television program "Dr. Quinn, Medicine Woman." James Keach is a high profile writer, producer, director and actor, who recently directed the CBS movie version of "Dr. Quinn, Medicine Woman." Although best known for its animation. Film Roman also produces live-action television series, specials and children's and family oriented videos. Its first animated series, "Garfield," produced in 1984 won three EMMYs.
