Software.com Inc (SWCM) : No, Software.com is not another online retailer of low-margin computer products; although that was founder John MacFarlane's original plan. Today, the Santa Barbara, CA-based concern is a leading developer of messaging software that allows ISPs and telecom companies to provide email, Internet-based voicemail and faxmail messaging.

Software.com customers include @Home, Bell Atlantic Internet, Excite and Hongkong Telecom. AT&T WorldNet was the company's biggest patron in 1997 (accounting for 18% of revenue), while GTE Internetworking Services was the single largest purchaser of SWCM software in 1998 (accounting for 12% of revenue)...

The Offering: Software.com is planning to sell 6 mln shares at $12 to $14 apiece. This morning, lead underwriter CS First Boston raised the offer range from $10-$12...

Financials: For the 3 months ended March, SWCM logged revenue of $8.1 mln, an increase of 65% from the yr-ago. Net loss for the qtr narrowed from $2.9 mln (or $0.10) to $2.26 mln (or $0.08). Assuming a $14 pricing, SWCM would sport a market-cap of $570 mln and a trailing Price/Sales ratio of 19.8...

At the conclusion of the offering, Cisco will be one of the company's largest shareholders with a stake of 7.7%. Other equity investors include AT&T Ventures and Hewlett-Packard... Expect stock to begin trading by late morning tomorrow. - DS
