Dave: Just wondering if anyone knows the diff.

between Nevada law and Utah law???

The area of Preferred Stock if issued or Convertible Preferred Stock
if issued.

Just a little clip from another firm I was reading about. The Convertible Stock can hold a very diffrent type of terms than most other states were issued. IMO, this may be again a part to look over on how a deal is writen when a company issues Preferred Stock.

CLIP....

>>>> month after the respective Closing Date, the Lookback Period will be increased by two trading days per month until the Lookback Period equals a maximum of 30 trading days. The Series
98-C Preferred is redeemable at the option of the Company, in whole or in part, in cash, at 125% of the liquidation value plus accrued and unpaid dividends. In the event the Series 98-C Preferred is not converted two years from the Closing Date of the tranche then the outstanding Series 98-C Preferred Stock
shall be redeemed by the Company as if the Company voluntarily elected such redemption, subject to Utah law.<<<

Just looking for some help on the subject of Utah law and how stocks of issue can be set up for later trading.
