Texas T Petroleum Ltd. has reached a final agreement with Synergy Technologies Corporation to acquire 50% of the shares of Carbon Resources Limited, the holder of a 100% interest in and to the CPJ process. The CPJ process is a proprietary non-catalytic process for the conversion of so-called heavy oils into lighter oils, which, at current market value, sell at a premium per barrel over the price of heavy oils. Texas T Petroleum Ltd. acquired an option to negotiate the acquisition of the 50% interest on January 13, 1999 and has concluded negotiations to acquire the interest. Under the terms of the acquisition Texas T Petroleum Ltd. must fund a total of $900,000.USD and issue a total of 2,000,000 Units of Texas T Petroleum Ltd., each Unit consisting of one share and one share purchase warrant entitling Synergy to purchase one additional share at $1.00 per share. As mentioned above, Texas T Petroleum Ltd. will acquire its interest by way of the acquisition of 50% of the shares of Carbon Resources Limited, a wholly owned subsidiary of Synergy Technologies Corporation. Carbon Resources Limited holds a 100% interest in the CPJ technology. Texas T Petroleum Ltd. is completing a private placement offering memorandum to raise the required capital to fund the acquisition. The acquisition will be subject to test results satisfactory to Texas T Petroleum Ltd. The acquisition will also be subject to the requisite regulatory approvals.
