rzer, you have the vote, it simply takes longer to get to you. If you do not get it within two weeks of the special meeting, call the company and ask for a proxy to be mailed directly to you.

I don't know if you got an answer to your 401K question, but the answer is you own the stock and the voting rights. All correspondence should be forwarded to you from the Brokerage Firm administering the 401K program.
