I'm not sure. Consider:
1) AltaVista is probably costing CPQ big $ to run.
2) They want to get it off the books.
3) In order to IPO AV, CPQ would have to fork over more $.
4) Even then, the IPO may fail.
5) CMGI does not have tons of cash but knows how to IPO businesses.
6) Therefore, maybe some of the compensation will come from shares of AV after CMGI takes it public.

There are a lot of possibilities. Most look good for CMGI because everybody knows that CPQ wants to get out from under AV. If they knew what to do with it, they would have done it a long time ago. At this point AV is a property slowly losing value and everyday costing lots of $ for CPQ.
