According to the 3-12-98 8K: IMA was issued 1,670,000 convertible preferred shares, for consideration of purchased assets. Shares were to automatically convert to common March 2, 2000. The conversion depended on the average price of the common (10 days prior to March 2). They were to convert to 1 share of common, if the price was more then .66. One and half shares if under. If the total conversion price was less then $500,000... IMA could cause AOXY to redeem for $500,000. This is all spelled out in the 8K, exhibit 1, item 5. Deb'
