Dear eleebee: I too have been thinking about the Dissenters Rights. I noted that the proxy says the fair value will be established by TAVA and it could be more, less or equal to that offered in the offering document. Frankly, I dont see how it could be less as TAVA Directors, Prudential etc etc just basically swore that $8 was fair value. So I think its most likely they would only offer the $8, however IF only a few people dissented then perhaps they would raise it just to get the process over with. I noted that should the dissenters and TAVA not agree on the fair value it then goes to an Appraiser at initially TAVA's expense. As to who ultimately bears the expense I guess would be up to the Judge who would weigh the reasonableness of the Dissenters failure to accept TAVA's offer. I think that the real risk in Dissenting IF the deal goes through would be the time it may hold up getting any funds (although one would be drawing interest) .
I hope that all of you opposed to this deal will VOTE NO. Dont just withhold your vote as withheld votes CAN be voted by management to postpone the vote in an attempt to solicit more YES proxies. So the best thing to do is VOTE NO and then they cannot use your proxy for ANY other purpose. That means vote NO on BOTH items. JDN
