sks...there is one reason, and one reason only, for this dividend and warrant incentive to be offered. To encourage shareholders who have their shares in street name to request their brokers to register the shares and have them issued in certificate form to the shareholder.

Why? To dry up the available shares which can be borrowed for the purpose of shorting. This is not the classic dividend where the company is paying out a share of profits to shareholders rather than plowing all the profit back into the company.

Tom has assured us that this is perfectly legal and done pursuant to the advice and guidance of their SEC attorneys. If you can produce some documentation that there is illegality involved in this offering, then please produce it. If you are speculating and not convinced of the assurances and explainations we have been given by the company, then please come out and make that clear.

True...this is unique and a strange type of offering. That is not a reason to declare it illegal and questionable based upon pure suspicion and speculation. Get me some facts to rebut the company's statements if you want to attack the offering.

If there is an actual problem, other than uneasiness about the reasons for it and way of doing it despite the explainations, then I am more than open and eager to discuss it here. I believe the rest of the thread feels similarly.

Excellent question. I am waiting for a reply from Tom.

Since my ECNC shares are in IRA, I was very happy to hear the offer. You are correct that there may be shareholders with ECNC shares in IRA accounts, that do not use a computer and/or are not aware of the various stock threads. These shareholders may not be aware of the warrant offer to take advantage of it.

I will post Tom's reply ASAP.

Please explain to sks1 that I have spoken with large brokerages such as Dean Witter, Bear Stearns etc., and they all understand that our only reason for doing this is to drain CEDE holdings of the street name stock.
