It is and it isn't. It is in that there is no floor on the price at which shares could be "put" to H&Q. It isn't in that it is up to UOLP as to when (and therefore, at what price) they would "put" the shares to H&Q. They don't have to put any shares to H&Q if they choose not to.

H&Q has no control over the placement of their shares, and therefore, they have no incentive to drive the price lower. I don't think H&Q is in that game to begin with.
