I think the FRO deal is primarily defensive as it basically pulls the legs out of GBLX, which, I think, Nacchio has said is his major competition. Plus they have access to many customers. They already lease fiber from Qwest, so Qwest simply replaces them for the customer base, gets rid of the deadwood, and sells off what they don't want.

Personally I think this negative earnings warning puts Qwest in a very good position to take over in a proxy fight. You want to stick with your current management, which is what would happen if GBLX gets it as its a friendly merger vs a takeover, or would you want new management that has a proven track record to take over and clean house.
