here are my answers. overall your arguements are VERY WEAK.
you are grasping! most of what you cite has no effect on FCM's
business...present or future.

TOM

1) The known churn rate of employees, these folks were all hailed as
killer applications. And I quote" Westlake Village, CA, June 11, 1998 --
Citing its success in attracting management talent to address the
challenges of explosive growth in the international IP (Internet
Protocol) telephony market, Franklin Telecom (OTC: FTEL) today announced
three executive appointments to key positions at FNet Corp., Franklin's
next generation telephony company subsidiary. "

MY ANSWER

losing employees is not an issue unless you are losing valuable
talent. IMO, Buswell is about the only one FCM cant afford
to lose. Wyenn is still there and myabe Hamlin.

TOM

2) How many employees? The details of option packages are not
shareholder friendly.

MY ANSWER

75 employees. i disagree. 6 million additional total options for
5 yrs is not unreasonable. the majority have not been exercised
or even granted

TOM

3) The growth of outstanding shares without one forward split EVER.
However, there was a reverse split.

MY ANSWER

the growth of share was necessary to keep this company in business
to fuel their R&D. 25 mil outstanding is a relatively low # of shares

TOM

4) Lawsuits vs Magruder / vs Enrique Serna Martinez and no public
announcement of this event. Anyone willing to predict the outcome ?

MY ANSWER

FCM won the Magruder lawsuit. i have no details of the Serna
lawsuit but i am sure that it will not materially affect FCM
business.

TOM

5) The jm best website falsely claiming their financing is provided by
Garage.com. What claims do you believe from jm best after that.

MY ANSWER

i am sure that the PR was true at the time it was issued.
i believe JM Best received other financing.
plus you never proved that garage.com was not involved.
i believe they may still have a role, from my investigations

TOM

5) 800 number fiasco and subsequent lawsuit by AT&T.

MY ANSWER

at least 2 years old!! the AT&T was resolved

TOM

6) Terms of the AT&T settlement were never made public.

MY ANSWER

did you look at the balance sheet of FCM to see if the terms
of the lawsuit affected FCM's financial health? i did and
they didnt.

TOM

7) As of the shareholders meeting fnet has failed to IPO. How many years
in the making now ???

MY ANSWER

the delay in the FNET IPO has been a disappointment.
but i would rather IPO a viable business than a shell.
the delay will only improve the success of the IPO if
FNET grows as i expect

TOM

8) Node count never changes.Feb 11, 1997 through June 18, 1999. See
below.

MY ANSWER

how do you know they have changed? OVER 100,000 nodes
can be a MILLION NODES. pure speculation on your part.

TOM

9) Poorly written press releases, lacking details ?

MY ANSWER

some customers require confidentiality. "poorly" written is in
the eye of the beholder

TOM

10) franklin's customer list; are these customers sited therein
currently doing business with franklin ?? If so, is that a secret ? The
Reuters order is public knowledge.

MY ANSWER

dont know but pretty sure that citibank still does occasional
business as well as a few others

TOM

11) Is there an Atlanta office anymore ?

MY ANSWER

dont know, but whats the point?

TOM

TOM

13) Revenues unaudited.

14) Posters that claim information, that is not available to the public.
See items # 3, 6 ( unproven ), 9, (21?), 22, 23, ( 26?). Seth's post #
1063. Not sure about items in parenthesis.

15) Litigation of negative posters threatened when recent company
litigation was made public.

16) Mob lynching of negative posters.

18) franklin's rescue of stranded AOL users.

19) When is the big Kahuna going to arrive ( it was scheduled Mar.21,
1997 )

20) franklin's relationship with the delisted and it seems now defunct
gandalf and that company's propensity for sensational headlines. Leading
to a dead end.

21) franklin's ex partnership with dctc. Dctc has not resumed trading.

22) Cybervox.com, under construction, will it be another Intrine.com

23) Intrine.com under construction.
a) Cannot find the whereabouts of intrine
b) Cannot find the whereabouts of dana topping, CEO intrine.com

27) raleigh baughman's involvement with franklin.

MY ANSWER

all of the above are baloney arguements. you deserve to
be lynched for all of the nonsense you post here
AOL, dctc, intrine is all OLD hat.

TOM

24) Recent port count sales. ( seth's item# 10 ) If there are currently
10,500 ports sold., and we are looking at 20,000 by year end, that is
either one or two of the projections below. Seth could not quantify his
projections when I asked about it.
a) The first is, if these 10,500 ports were sold by Q ending March 31,
1999, then the balance of three quarters would share 9,500 additional
ports. 3,166 per Q ????
b) The second theory would be 10,500 ports sold as of the date of seth's
post June 27, 1999. Leaving a balance of 9,500 projected port sales to
be delivered by end of year. 4,750 per Q.
c) Either projection slows growth dramatically ( Correct ?? ), at least
with that customer.

MY ANSWER

i would disagree that growth is slowing. it took USAT at least 7 months
to get 10500 ports 20000 by year end is not slowing. if USAT reeived
financing as reported, that number may increase dramatically

TOM

25) Past product announcements and failures, after glorious headlines
and board hype.

MY ANSWER

Buswell is running the show now. since he has arrived i would say
your arguement is inaccurate.

TOM

26) 70,000 shares less in the CEO's holdings. Assigned to children and
grandchildren ( according to and quoted by posters ), while executives
demonstrated confidence and purchased.

MY ANSWER

so what? Frank gave shares to his kids and grandkids.

TOM

28) If usat is still a customer, the cloud which hangs over usat's head
from a continuing SEC investigation. Quantified by the SECquestions that
have been raised about the accuracy and adequacy of publicly
disseminated information concerning, among other things, the status and
extent of USA Talks' business operations.

MY ANSWER

USAT continues to run its business and buy product. as long as this
continues and we have no reason to believe that it wont, this is not
an issue

TOM

29) Share price appreciation. Leaving out the $10 price of 1997, how
many 4 & 5 dollar trips has the stock made?? Chart below.

finance.yahoo.com

MY ANSWER

i am no chartist. but the run to $10 was VERY short lived.
if you leave a period of a couple of weeks in 1997, the
stock has pretty much been in a trading range between
.50 and $3 for the majority of the time the last 3 years.

have other stocks been in trading ranges prior to breaking
out permanently?
