"Westminster Resources has filed a preliminary short-form prospectus in each of the provinces of Canada with respect to an offering of up to two million units at a price of $4 per unit and up to 2.5 million common shares, to be issued as flow-through shares, at a price of $4.30 per share. Each unit consists of one common share and one-half of a warrant to purchase a common share at a price of $5 at any time on or before July 20, 2000. Westminster will renounce to subscribers for flow-through shares Canadian exploration expense equal to the
subscription amount for the flow-through shares effective on or before Dec. 31, 1999.
The agents for the offering are Dundee Securities Corporation, CIBC World Markets Inc., Canaccord Capital Corporation and Haywood Securities Inc. Closing of the offering is expected to occur on or about July 20, 1999, subject to receipt of applicable regulatory approvals. Proceeds from the issue will be used to repay bank indebtedness and finance Westminster's continuing exploration and development activities."

Note the similarity of agents and the type of offering with that of ELK. (I thought WML wasn't going to issue more shares :)! Looks like everyone has their coffers replenished ready for battle. At US$10M each hole they will need every penny.

I read this as major dilution. Not surprising given their balance sheet, but a major dilution nevertheless.

Makes HTP, PYRX, KOB and TMK look a lot better, I'll grant you that.
