Stan,
Authorized shares are just that, authorized. Shares that are issued and outstanding are those sold on the market or used for options etc. So that a company can have a ton of authorized shares that they hold for future use but do not impact or dilute the shares issued and outstanding. The issued and outstanding shares though are part of those counted in the authorized ones.
