It also appears that if either party terminates the agreement, they're obligated to pay the other party $5 million.

If you bought a stock 5 years ago for $80K that is now $600K, would you call the difference a $520K "profit"? And if in this same time period you made other investments that lost $200K, wouldn't your net profit from investing activities be $320K?

Change the "K" referring to thousands of dollars at stake for guys like you and me to "m" for millions and now you're talking about S3.
