the typical wording is something like "...enhancing/maximizing shareholder value..." and if you carefully consider their wording it's not terribly dissimilar in that it talks aobut the company's "valuation", meaning what the market thinks it's worth. Translate that into per-share pricing and a spinoff could jack up the price real well (combined values of post-spinoff MRVC + the new company's shares).

Who stands to gain? Not only we lowly shareholders but management as well since they own a huge percentage of the company plus probably have substantial options as well. This is consistent with the new tone we've been hearing from Noam et al, IMHO.
