Maybe T didnt have voting control. Maybe they wanted a way into Charter to get them signed up for AT&T phone over cable.

Bresnan's principal market is upper midwest. T is trying to cluster service areas and probably isn't interested in those states. Just a guess.

And another possibility: They might be trying to ease the regulatory risks to their MediaOne purchase by trading off systems over which they don't have full control. Falcon Cable-- the previous Charter purchase -- was also partly owned by AT&T.

I've always heard of Charter running their own cable-modem system but a press release on the Paul Allen site suggests that at least some of the Charter franchises are affiliated with ATHM:
