Go2net pays $90.5 mln cash, stock for
Authorize.Net

SEATTLE,, July 1 (Reuters) - Internet portal company Go2Net
Inc. (Nasdaq:GNET - news) said on Thursday it acquired
Authorize.Net Corp., a payment authorization service for online
businesses, for $90.5 million in Go2Net cash and stock.

The deal involves $77 million in Go2Net stock and $13.5 million cash. The price is subject to
increase, based on Authorize.Net's performance over the next two years.

The acquisition brings tp Go2Net a critical component in end-to-end commerce solutions for its
HyperMart and Virtual Avenue business hosting services, which comprise the Internet's largest
group of small and medium-sized businesses.

With more than 360,000 member businesses already being hosted through Go2Net's network, the
company said that number is growing at a combined rate of more than 1,000 new business members
each day.

Authorize.Net and its employees will remain based in Provo, Utah.

In June, Go2Net shareholders approved a deal giving Paul Allen, co-founder of Microsoft Corp., a
24 percent stake in the company for a total investment of $426 million.

The company said the cash investment would enable Go2Net to continue acquiring small Internet
companies that fit into its core areas of search, personal finance, games and commerce.

Shares of Go2Net were trading at $90, down $1, on Thursday morning on the Nasdaq stock
market.
