The three proposals are as follows: [also hello, Dan]

1A Amend and restate the company's certificate of designation,
preferences, rights and limitations relating to the company's
series A convertible preferred stock so as to amend the terms
of the outstanding series A convertible preferred stock, as more
fully described in the accompanying proxy statement.

1B Amend the company's certificate of incorporation to effect a
reverse stock split of the company's common stock, whereby each
five shares of common stock would be combined, converted and
changed into one share of common stock. Proposal 1B will be
adopted if proposal 1A is also approved by stockholders of the
company.

1C Amend the company's certificate of incorporation to provide the board of directors of the company with the authority to effect in the board's sole descretion, at any time prior to January 1, 2000, a reverse stock split of the company's common stock, as more fully described in the accompanying proxy statement.

*note* Such other business as may properly come before the
meeting or any adjustment thereof.
