Given that some (not including me) have voiced concern over legal exposure from the recent failed stock offering, today's ruling by the 9th U.S. Circuit Court of Appeals in favor of Silicon Graphics should not go unnoticed. Specifically, the Court cited that under the Private Securities Litigation Reform Act, plaintiffs "must present evidence of deliberate recklessness or conscious misconduct".

Putting aside the lack of or at best minimal damages from the aborted offering, it would be a great stretch to see a "plaintiff", whoever that might be, presenting such required evidence as cited above.
