Shareholders own the company. They can elect an interim board of directors to conduct the business of the company if it does not have a functioning board. If necessary they can take care of any paperwork with the state of incorporation (NV as I recall in this case) so that the company is in good standing, and then get the books and records back from the SEC. The SEC may have a right to copies of those documents, but the shareholders own them. hope this helps PCM two pair!
