Millennium Network to complete private placement Millennium Network Corp MLM Shares issued 7,996,429 Jul 7 close $0.68 Thu 8 Jul 99 News Release Mr. Jim Kootnekoff reports The company intends to complete a private placement of up to two million units at the price of 59 cents per unit less applicable discounts as may be determined by the corporation and permitted by the Alberta Stock Exchange. Each unit shall consist of one common share and one warrant. Each warrant will entitle the holder to acquire, on or before one year from the date of issue, one additional common share for consideration of 75 cents during the first six-month period from the date of issue and for consideration of $1.25 during the last six-month period from the date of issue. The private placement will be conducted in the provinces of Alberta, British Columbia and Ontario and may be completed pursuant to one or more closings. The proposed private placement is subject to regulatory approval and, subject to obtaining that approval, is expected to close on or before July 31, 1999. The maximum proceeds from this private placement will be a maximum of $1.18-million.
