June 28, 1999 "Dear Safeguard Shareholder: In our last letter to you, we asked if we counld contact you directly to provide further information on our new directed share suubscription program. Since we are mailing this notice only to those shareholders of record on June 11, 1999, whose brokerage accounts permitted tthe release of their name and address, no further action is required by you at this time to receive direct notice from Safeguard when we feel it is appropriate. This letter provides answers to the most frequently asked questions we've been receiving on our website (www.safeguard.com) and investor relations line (1-888-SFE-1200). You may also call Corporate Investor Communications, the information agent for oour two pending offerings, at 1-877-460-4356. Q: Who will be eligible to participate...? A: Only holders of Safeguard stock on the record date for an offering who meet the minimum requirements discussed below will be eligible to participate. The record dates of our two pending offers were: Internet Capital June 24, 1999 US Intereactive June 24, 1999 Q:Why were the dates changed? A: Approximately three weeks befroe an offering is expected to price, the subscription offer will be delivered to your brokerage account, or to you directly if you are a direct shareholder. We will also distribute a preliminary prospectus for the IPO company, a preliminary prospectus for the unit investment trust, and, to the extent needed, an offering letter that further explains the directed share subscription program. The materials will include an anticipated price range the period of time during which we expect the offering to price the terms of the offering and a discription of the IPO company and the risks invoved in an investment. The anticipated price range and expected offering dates will be estimates and cannot be guaranteed. Q: Can you send the prospectus and subscription information to me directly instead of sending it through my broker? A: (Long answer = NO) Haowever it will be available on website. Q: When will I recieve the offer and prospectus? A: W expect to distribute the offer and prospectus approximately 3 weeks before the offering is expected to price. The offering agent will stop accepting subscriptions and payments at 5:00PM NYC time on the fourth business day after the IPO price has been set. We caution that brokers will require some time to process subscriptions form Safeguard Shareholders. Therefore, it is most likely brokers will stop accepting subscriptions earlier that the fourth day after ythe IPO privce is determined. Q: How do I subscribe?
