The board of Northern Abitibi is determined to proceed with NAMC's action
against Hymex Diamond Corp., its wholly owned subsidiary, Hymex Guinea SA,
International Mining Co. SA and Jobran Shakkour arising out of IMC's breach of
its agreement with NAMC dated Nov. 1, 1996, to acquire up to a 50-per-cent
joint venture interest in IMC's Kerouane diamond properties in Guinea and related
assets. After entering into the Nov. 1, 1996, agreement, NAMC lent IMC
$250,000 (U.S.) to purchase a diamond wash plant for use on the Kerouane
diamond properties. Subsequently, IMC informed NAMC that it would not
honour its agreement and proceeded to enter into another agreement to sell the
Kerouane properties to Hymex. IMC also failed to repay NAMC the $250,000
(U.S.) loan.
After commencing its legal action, and in a spirit of co-operation with Hymex,
NAMC made a settlement with Hymex that would have involved the repayment of
NAMC's $250,000 (U.S.) loan and accrued interest and the issuance to NAMC
of 500,000 shares of Hymex, which at that time were trading in the $1.40 range.
The settlement agreement, which was entered into on a without prejudice basis,
was subject to certain conditions inclusive of exchange approval. NAMC granted
several time extensions to Hymex to obtain exchange approval, but once such
approval was obtained, Hymex defaulted on the settlement agreement. As is set
out in Hymex's audited financial statements as at June 30, 1999, Hymex did not
comply with the terms of the settlement.
Counsel has been instructed to demand statements of defence from all of the
defendants within 20 days.
